Monocle Prism is a trade name of We'll Do It LLC, an Arizona limited liability company.

PLEASE READ CAREFULLY. THESE TERMS INCLUDE A BINDING ARBITRATION CLAUSE, A CLASS ACTION WAIVER, AUTOMATIC RENEWAL TERMS AND LIMITATIONS OF LIABILITY.

By creating an account, starting a workplace, buying a plan, credits or add-on, or otherwise using Monocle Prism, you agree to these Terms. If you are accepting on behalf of a business or other organization, you confirm that you have authority to bind it, and "you" means that organization. If you do not agree, do not use Monocle Prism.

Related documents (each forms part of these Terms): Privacy Policy · Refund and Returns Policy · Acceptable Use Policy · AI Terms · Seller Terms · Data Processing Addendum

1. Who we are and what these Terms cover

We / us / Monocle Prism: We'll Do It LLC, doing business as Monocle Prism, 2321 E. University Dr., Phoenix, AZ 85034, United States.

You: the person or organization that creates an account or workplace, or uses the Service.

Service: the Monocle Prism software platform at monocleprism.com and its related applications (including the Monocle Prism desktop app, Monocle Browser, browser extension and Monocle Tap app, where offered), its features, Monocle AI, the marketplace, application programming interfaces, and documentation.

Workplace: a separate space in the Service for one business or organization, with its own members, settings, data and billing.

Your Content: data, files, messages, records and other material that you or your workplace members put into, connect to, or generate in the Service.

These Terms cover the Service only. They do not cover any separate service agreement you may sign with We'll Do It LLC for other services; if you have one, that agreement governs the services it describes.

2. Eligibility and accounts

2.1 You must be at least 18 and able to form a binding contract. The Service is intended for business and professional use.

2.2 You are responsible for all activity under your account and your workplace. Keep your sign-in details secure, provide accurate information, and tell us promptly at support@monocleprism.com if you suspect unauthorized use.

2.3 Workplace administrators control who joins the workplace, what each member can see and do, which integrations are connected, and which plan, credits and add-ons are bought. You are responsible for your administrators' choices.

3. Plans

3.1 Plans. The Service is offered on the plans described on our pricing page at the time you subscribe: Foundational, Core, Plus, Pro, Max and Enterprise. Each plan's features, limits and included allowances are as described there and in the Service.

3.2 Foundational plan. The Foundational plan is the starting plan and carries no subscription charge ("Included to start"). It includes limited features and allowances, currently 1 GB of storage and 50 everyday Monocle AI requests a month on the default model, with no premium AI credits. Money, custom tools and Flight Deck are not available on Foundational. Foundational workplaces cannot buy credits, storage or other add-ons; to get more, choose a paid plan. We may change Foundational allowances on notice.

3.3 Changing plans. You can move to a higher plan at any time in Settings, then Plan & Billing. The change takes effect immediately and you pay the prorated difference for the rest of the current billing period. A move to a lower plan takes effect at your next renewal.

3.4 Enterprise. Enterprise plans may be governed by an order form signed by both parties. If an order form conflicts with these Terms, the order form controls for the matters it covers.

3.5 Beta features. Features we label beta, preview or early access are provided as-is, may change or end, and are excluded from any service commitment.

4. Payments, fees and taxes

4.1 What you pay. You agree to pay the charges shown at checkout or in your order form. Card payments are processed by our payment processor, Stripe; we do not store full card numbers.

4.2 How charges are shown. Each charge is itemized at checkout before you pay:

PurchaseWhat is itemized at checkout
Plan subscription (and the storage add-on)plan price; card processing; tax where it applies
AI credit packs and AI overagecredit price at cost; card processing; tax where it applies
Marketplace purchaseslisted price; 5% platform fee; card processing; tax where it applies
Monocle Prism Setup Supportsession or hourly price; card processing (Foundational: the platform fee in 4.10); tax where it applies

There is no platform fee on plan subscriptions, the storage add-on, AI credit packs or AI overage. Monocle Prism Setup Support is priced in section 4.10.

4.3 Platform fee. A platform fee of five percent (5%) of the marketplace price applies to marketplace purchases only. AI credit packs and AI overage are charged at cost, plus card processing and tax, with no platform fee. It pays for operating the platform, payments, support and security. It is shown as its own line before you pay. Marketplace listings show "+ platform fee, processing and tax at checkout" next to the price . Tax may apply to the platform fee where the law requires.

4.4 Card processing. Where shown, the card processing line is the processing cost of that payment, passed through without margin.

4.5 Taxes. Prices do not include sales, use or similar taxes. Where tax applies, it is calculated and shown at checkout before you pay. You are responsible for taxes on your purchases other than taxes on our income.

4.6 Storage add-on. Paid plans may add storage at $1 per 10 GB per month, added to the plan subscription and renewing with it.

4.7 AI credits. Paid plans include a monthly allowance of premium AI credits. Additional credits can be bought in packs. Included monthly credits end with the month; bought credits expire twelve (12) months after purchase. Credits have no cash value, are not transferable outside the workplace that bought them, and are not a deposit, account or stored-value product. See the AI Terms.

4.8 Late or failed payment. If a payment fails, we will tell you and may retry it. If it is not resolved, we may limit or suspend paid features after notice. Your Content is kept as described in section 12.

4.9 Price changes. We will give you reasonable notice, by email or in Monocle Prism, before a price change applies to your plan. It applies from your next renewal after the notice. You can cancel before it takes effect.

4.10 Monocle Prism Setup Support. Monocle Prism Setup Support is an optional, separately paid add-on in which a person helps you set up your workplace. It is not part of any plan, and no plan includes it. A setup session is two (2) hours for $119. Further setup support after the session is $59 per hour, in half-hour steps ($29.50 for each half hour). The price and hours are shown on the order before you pay. Foundational workplaces pay the platform fee shown at checkout (4.4% + $1); paid-plan workplaces pay the price plus card processing; tax applies where it is required. The person helping you sees nothing in your workplace until you approve it, and you can end their access at any time. Your plan works the same with or without Setup Support.

5. Automatic renewal and cancellation

5.1 Your plan renews automatically. Paid plans renew automatically at the end of each billing period (monthly or annual, as you chose) at the then-current price, and we charge the payment method on file, until you cancel.

5.2 What you agree to at checkout. Before you pay, checkout shows, clearly and next to the payment button: that the plan renews automatically until you cancel; the renewal price, including any storage add-on, and how card processing and tax are shown; the billing period; and how to cancel. You agree to this by checking a box that is not pre-checked.

5.3 Confirmation. After you subscribe, we email you a confirmation with the renewal terms, the price, the billing period, and how to cancel.

5.4 Renewal reminders. For annual plans, and for any plan where the law requires it, we email a reminder no fewer than 25 and no more than 40 days before each renewal date, with the amount, the renewal date, and how to cancel.

5.5 How to cancel. You can cancel online at any time in Settings, then Plan & Billing, without contacting us and without extra steps. You can also cancel by emailing support@monocleprism.com. Cancellation stops future charges and takes effect at the end of the current billing period; you keep paid features until then. After that, the workplace moves to the Foundational plan where available, and Foundational limits apply to Your Content (see section 12).

5.6 Trials and introductory prices. If we offer a trial or introductory price, checkout will state when it ends, what you will be charged after it, and how to cancel before the first charge. No trial is currently offered.

6. Monocle AI

Monocle AI features are governed by these Terms and the AI Terms. In short: at the default level, everyday AI is included on paid plans under fair use; stronger models and heavier work use credits; when you reach a limit, AI slows down and offers credits, and nothing is charged without your click; Monocle AI asks you to confirm before it changes records in your workplace from chat.

7. Money features

7.1 Where your plan includes Money (Core and above), financial accounts, cards and money movement are provided by Stripe and its partner financial institutions (named in Stripe's terms, which you accept before you use these features), not by us. We'll Do It LLC is not a bank. You must accept the provider's terms to use these features.

7.2 Where offered, funds can be added from outside accounts you control. Funds can be paid out only to your team members, providers you buy from, managed card spending, and charges from us, as set in the Service.

8. Marketplace

8.1 Independent providers list and sell their own products and services through their own Monocle Prism workplaces. We operate the platform. The provider is the seller and merchant of record for what it lists, unless checkout clearly says otherwise.

8.2 The provider's own refund policy is shown on the listing or order page before you buy. We may help with disputes, but we do not guarantee a provider's performance unless we say so in writing.

8.3 Providers who sell through the marketplace also agree to the Seller Terms.

9. Your Content

9.1 You own Your Content. As between you and us, you keep all rights in Your Content.

9.2 What you allow us to do. You give us a limited, worldwide, non-exclusive license to host, store, copy, process, transmit and display Your Content only as needed to provide, secure and support the Service for you, to follow your instructions (including your instructions to Monocle AI and to connected integrations), and to comply with law. This license ends when Your Content is deleted from the Service, except for copies in backups that are deleted on their normal cycle.

9.3 Access by our staff. Our staff do not open the content of your workplace unless you approve it.

9.4 Personal data. Where Your Content includes personal data, the Data Processing Addendum applies, and we process it as your processor or service provider.

9.5 Your responsibilities. You confirm you have the rights and any consents needed for Your Content, and that it complies with the Acceptable Use Policy.

9.6 Feedback. If you send us suggestions, we may use them without obligation to you.

10. Our intellectual property and your license

10.1 We'll Do It LLC owns or licenses the Service, including the Monocle Prism and Monocle names and logos, software, designs and documentation.

10.2 Subject to these Terms and payment, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription. Plans that include reselling or provisioning workplaces for others may do so only as the plan and any order form allow.

10.3 You may not copy, modify, reverse engineer, sublicense, resell or remove proprietary notices from the Service, except as the law expressly allows or as your plan permits.

11. Third-party services and integrations

11.1 You can connect third-party services (for example Google, Microsoft, QuickBooks, Stripe or Slack). When you do, data moves between the Service and that service as you authorize, and that service's own terms and privacy policy govern its processing.

11.2 Disconnecting an integration stops further data exchange through it. We are not responsible for third-party services we do not control.

11.3 Not professional advice. The Service is business software. We are not a law firm, accounting firm, financial adviser or medical provider, and nothing in the Service is legal, tax, financial or medical advice.

12. Suspension, termination and your data

12.1 By you. You can cancel your plan as set out in section 5, and you can delete a workplace from the Workplaces page and your account in Settings, under Sign-in and security.

12.2 By us. We may suspend or end access for a material breach of these Terms, non-payment, fraud, a security risk, or a legal requirement, with notice where practicable and a chance to fix the problem where reasonable.

12.3 Exporting your data. While your workplace is active a workplace owner or administrator can export a snapshot of the workplace's core business records (contacts, companies, deals, quotes, invoices, products, projects, tasks and subscriptions) from Settings, under Data and Privacy. Other content can be requested from support@monocleprism.com.

12.4 After a plan ends. If a workplace moves to Foundational, content above Foundational limits is kept so you can export it or upgrade, and it is deleted only after we have given you notice. If you close a workplace, it is archived and Your Content is kept. After you ask us in writing, we will delete Your Content, and remove it from backups when those backups are overwritten in the ordinary course, except records the law requires us to keep. We do not promise a deletion time. A personal workplace is deleted when its owner deletes their account.

12.5 Sections that by their nature should survive (fees owed, intellectual property, disclaimers, liability limits, indemnity, dispute resolution) survive termination.

13. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" except as these Terms expressly state. To the fullest extent the law permits, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted or without errors, or that AI output will be accurate.

14. Limitation of liability

14.1 Cap. Subject to 14.3, our total liability for all claims relating to the Service is limited to the greater of USD $100 or the fees you paid us for the Service in the twelve (12) months before the claim.

14.2 Excluded damages. Subject to 14.3, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data.

14.3 Carve-outs. The cap and exclusions do not apply to: (a) gross negligence or willful misconduct; (b) indemnification obligations under section 15; (c) breach of our express confidentiality or information-security obligations; (d) statutory data-breach liabilities; or (e) any liability the law does not allow to be limited.

15. Indemnification

You will defend and indemnify We'll Do It LLC against third-party claims arising from Your Content, your use of the Service in breach of these Terms or the law, or your products and services sold through the Service.

16. Dispute resolution

16.1 Arbitration. Any dispute is resolved by binding individual arbitration in Phoenix, Arizona, administered by the American Arbitration Association under its Commercial Arbitration Rules, or its Consumer Arbitration Rules where they apply. Either party may bring a qualifying claim in small-claims court.

16.2 Individual proceedings only. Disputes are resolved on an individual basis. You and we waive any right to a class, collective, consolidated or representative action or arbitration. If this waiver is found unenforceable for a claim, the arbitration provision is void for that claim, which then proceeds in court.

16.3 EU and UK consumers may bring disputes in the courts where they live.

16.4 Governing law. Arizona law, excluding its conflict-of-laws rules.

17. Changes to these Terms

We may update these Terms. We will post the new version with a new effective date and, for material changes, give account owners reasonable notice, by email or in Monocle Prism, before they take effect. Changes to fees follow section 4.9. If you do not agree to a change, you may cancel before it takes effect.

18. General

These Terms and the documents listed at the top are the entire agreement about the Service. If any provision is unenforceable, the rest stays in effect. You may not assign these Terms without our consent; we may assign them to a successor to the Service on notice. Notices to you go to the account owner's email; notices to us go to the address in section 19. Neither party is liable for delays caused by events beyond its reasonable control.
